By accessing our website at novatrixis.world or using our education platform customer support automation tools and services, you agree to be bound by these Terms.

novatrixis provides education platform customer support automation tools and related services designed to enhance student support experiences through intelligent automation. Our services include but are not limited to:

- Customer support consultation and implementation services
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to our clients.
User Obligations

- Modify, adapt, or create derivative works
- Remove or alter any proprietary notices or labels
- Use our services to develop competing products or services

Limitation of Liability
To the maximum extent permitted by law, novatrixis shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, or business opportunities
- Loss of data or information
- Business interruption or system downtime
- Cost of substitute services or products
- Damage to reputation or goodwill
Our total liability for any claims arising from or related to these Terms or our services shall not exceed the total amount paid by you to novatrixis in the twelve months preceding the claim.
Exceptions
Nothing in these Terms shall limit our liability for:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Breach of confidentiality obligations
- Any other liability that cannot be excluded by law
Indemnification
You agree to indemnify and hold harmless novatrixis, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Your use of our services in violation of these Terms
- Your breach of any applicable laws or regulations
- Infringement of third-party rights by your content or data
- Your negligent or wrongful acts or omissions
Warranties and Disclaimers
We provide our services "as is" and "as available" without warranties of any kind, either express or implied. We specifically disclaim:
- Warranties of merchantability and fitness for a particular purpose
- Guarantees of uninterrupted or error-free service
- Warranties regarding the accuracy or completeness of results

Whilst we strive to provide high-quality services, we cannot guarantee that our automation tools will be suitable for all education platforms or use cases.
Termination
Either party may terminate the use of our services under the following circumstances:
Termination by You
- You may stop using our services at any time
- For paid services, termination notice requirements are specified in your service agreement
- You remain responsible for any outstanding fees up to the termination date
Termination by Us
We may suspend or terminate your access to our services if:
- You breach these Terms or any applicable service agreement
- Your account becomes delinquent on payment obligations
- We reasonably believe your use poses a security or legal risk
- You engage in prohibited activities or misuse our services
Effect of Termination
Upon termination:
- Your right to use our services immediately ceases
- We will provide reasonable assistance with data export (subject to technical feasibility)
- Confidentiality obligations survive termination
- Outstanding payment obligations remain due and payable
Governing Law
These Terms shall be governed by and construed in accordance with the laws of Cyprus. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Cyprus.
For clients located in other EU member states, you may also have rights under your local consumer protection laws, and nothing in these Terms shall prejudice such rights.
Dispute Resolution
Before initiating formal legal proceedings, we encourage you to contact us directly to resolve any disputes. We are committed to working with our clients to address concerns promptly and fairly.
For disputes that cannot be resolved through direct communication, we may agree to participate in mediation or other alternative dispute resolution processes.
Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to:
- Natural disasters, pandemics, or public health emergencies
- Government actions, laws, or regulations
- War, terrorism, or civil unrest
- Internet or telecommunications failures
- Third-party service provider failures
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the intended purpose.
Entire Agreement
These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and novatrixis regarding the use of our services. These Terms supersede all prior or contemporaneous communications and proposals.
Modifications
We may modify these Terms from time to time to reflect changes in our services, legal requirements, or business practices. We will provide notice of material changes by:

- Updating the "last modified" date
- Sending email notification for significant changes (where we have your email address)
Your continued use of our services after the effective date of any changes constitutes acceptance of the modified Terms.
Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, provided the assignee agrees to honour these Terms.
